1. Introduction

Welcome to Slice (“we,” “our,” or “us”), a digital platform that enables users to invest in fractional economic interests in tokenized real estate assets. These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile application, and any associated services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and have full legal capacity to enter into contracts under applicable law. Use of the Platform is restricted to individuals and entities legally permitted to invest in real estate under the laws of Nigeria or their country of residence.

3. Nature of Investments

Slice facilitates investments in fractional economic rights linked to real estate assets held in one or more Special Purpose Vehicles (SPVs). These rights do not constitute legal title to the underlying property and are not equivalent to shares in a real estate investment trust (REIT).

4. Platform Services

By using the Platform, you may:

• Create and manage a Slice account
• View and analyze investment opportunities
• Commit capital to real estate assets
• Receive earnings from economic rights, where applicable
• List or transfer your interest through a supported secondary market

5. Risks and No Guarantee of Returns

Investments in tokenized real estate involve risks, including:

• Loss of invested capital
• Illiquidity or delays in secondary market access
• Market and valuation volatility
• Legal, regulatory, and tax risks

You acknowledge that Slice does not provide financial advice and offers no guarantees regarding investment returns, appreciation, or liquidity.

6. Fees and Charges

Slice may charge fees including but not limited to:

• Transaction fees on purchases/sales
• Management fees on assets
• Secondary market trading fees

All fees will be disclosed in advance and deducted as specified in the applicable investment agreement.

7. User Conduct

You agree not to:

• Use the Platform for fraudulent, illegal, or abusive purposes
• Circumvent, hack, or disrupt any security-related features
• Misrepresent your identity or eligibility to invest

Slice reserves the right to suspend or terminate your account for violations of these Terms.

8. Intellectual Property

All content, trademarks, software, and platform features remain the exclusive property of Slice or its licensors. No content may be copied, republished, or redistributed without prior written consent.

9. Data Protection

Slice complies with relevant privacy laws. See our separate Privacy Policy for full details on how your data is collected, stored, and used.

10. Amendments

We may update these Terms from time to time. Continued use of the Platform following the publication of revised Terms constitutes acceptance.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of competent jurisdiction in Abuja, Nigeria.
